Job Description

The Associate Corporate Counsel is responsible for the timely drafting, review, revision and negotiation of contracts. Must ensure compliance with negotiated business terms, regulations, and Avantor policies and procedures. This person will communicate across functions to resolve contracting issues and disputes. Must be able to use critical analytical skills and demonstrate sound judgment in satisfactorily resolving contractual issues.

 

This position will report into the SVP – Commercial, IP, Privacy and Contract Lifecycle Management and will be REMOTE.

 

What we’re looking for:

  • Education: JD required; current license to practice law required
  • Experience: Minimum 8 years legal experience required
    • Must have working to expert knowledge of contracting and legal concepts and terms.
    • Experience in the life sciences industry preferred, but not required
    • Strong background/experience with contract preparation and/or review required.
    • Experience in project management and execution on multi-departmental projects a plus.
    • Advanced abilities for contract negotiation.

  • Working knowledge of database, design, Internet software as well as strong knowledge of Microsoft Office Suite including Word, Excel, and PowerPoint

How you will thrive and make an impact:

  • Work independently to draft, review, and revise agreements under tight deadlines, including agreements for routine sales activities, as well as non-standard agreements for customers, suppliers, consultants, distributors, and clinical service providers.
  • Learn Avantor contracting policies and analyze agreement in accordance with policies.
  • Determine when complex legal and factual issues must be escalated to senior attorneys and assist in resolution of issues.
  • Assist in creating, implementing and managing systems that enable the efficient creation, negotiation, oversight and execution of Avantor’s agreements.
  • Coordinate contract negotiation with multiple, cross-departmental functions.
  • Obtain all appropriate and necessary internal approvals for contract terms and provisions.
  • Identify opportunities for process improvements.
  • Perform file management and records retention duties.
  • Give and welcome constructive feedback and contribute to building a positive team spirit.
  • Provide assistance and guidance to Contracts Specialists within department.
  • Perform other duties as assigned.
